Terms of Service

1. Acceptance of Terms

By accessing or using Summit Spend ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Summit Spend is a corporate expense management platform that provides transaction syncing, GL coding, receipt processing, approval workflows, and ERP integration. The Service is provided on a subscription basis with tiered plans as described on our pricing page.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Organization administrators are responsible for managing user access, roles, and permissions within their organization. When an administrator invites a user, the administrator represents that they have the right to share that user's email address with Summit Spend.

4. Subscription and Billing

  • Free plans are available for teams using Summit Spend issued cards
  • Paid plans are billed per active user per month, with a minimum monthly charge
  • Annual billing provides a discount and is billed upfront for the year
  • Upgrades take effect immediately; downgrades take effect at the end of the billing period
  • You may cancel your subscription at any time from your billing settings

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Upload malicious content, including malware or fraudulent receipts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Data Ownership

You retain ownership of all data you submit to the Service, including transaction data, receipts, and organizational settings. Summit Spend is granted a license to process this data solely for the purpose of providing the Service. We do not claim ownership of your financial data.

7. Third-Party Integrations

The Service integrates with third-party providers including Plaid (banking), Sage Intacct (ERP), and Stripe (payments). Your use of these integrations is subject to the respective third-party terms of service. Summit Spend is not responsible for the availability or accuracy of third-party services.

8. Corporate Card Program

If you enroll in the Summit Spend card program, the following additional terms apply:

  • Corporate cards are issued by Evolve Bank & Trust, Member FDIC, pursuant to a license from Visa U.S.A. Inc. Summit Spend is not a bank.
  • Cards are prefunded by your organization. No credit is extended and no interest is charged.
  • Cardholders must accept the Cardholder Terms, E-Sign Disclosure, and Authorized User Terms issued by Evolve Bank & Trust before receiving a card.
  • Your organization is responsible for maintaining sufficient funding, managing card access, and ensuring compliance with expense policies.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by third-party providers, force majeure events, or circumstances beyond our reasonable control.

10. Limitation of Liability

Summit Spend is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. Summit Spend is not a financial advisor — GL coding suggestions and AI categorizations are provided as recommendations only.

11. Termination

Either party may terminate the agreement at any time. Upon termination, you may export your data for 30 days. After 30 days, we will delete your data in accordance with our Privacy Policy. We may suspend or terminate your account immediately for violations of these terms.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
